1. What these terms cover

These terms govern your use of the Loadflex website, web portal, and mobile app (the "Service"). They do not set the commercial terms for transporting freight — rates, payment, cargo liability, and claims are governed by your separate signed agreement with us, and if these terms conflict with that agreement, that agreement controls. By using the Service, you agree to these terms. If you don't agree, don't use it.

2. Who may use the service

You must be at least 18 and using the Service for commercial purposes in the United States. If you use it on behalf of a company, you confirm you're authorized to bind that company, and "you" means both.

3. Accounts

Keep your account information accurate and your credentials private. You're responsible for activity under your account. If you provide us with someone else's contact details — such as a driver's phone number — you confirm you're authorized to do so and that they've agreed to be contacted.

4. Acceptable use

Don't:

Misrepresent your identity, authority, insurance, or relationship to a carrier, shipper, or driver.
Submit forged, altered, or expired documents, or submit another person's phone number without their authorization.
Access accounts or data you weren't given access to, or probe, scrape, or interfere with the Service.
Use the Service to violate any law, including transportation regulations and the Telephone Consumer Protection Act.
Submit false load, status, or location information.

5. Your content

You own the information you submit. You grant us the rights needed to host and process it to operate the Service and provide our brokerage services, including sharing it with the parties to a shipment. We do not sell it or use it to train AI models. How we handle personal information is described in our Privacy Policy.

6. Our intellectual property

The Service and everything in it belong to Loadflex. We grant you a limited, revocable license to use it for its intended purpose while your relationship with us is active. Don't copy, modify, reverse-engineer, resell, or create derivative works from it.

7. Text messaging

If you receive text messages from us, the Text Messaging section of our Privacy Policy applies: you opt in yourself, we send text messages only about account setup and app access, and you can reply STOP to opt out at any time.

8. Mobile app

The mobile app is licensed to you, not sold, and its use is also subject to your app store's terms. The app collects location only while you are on duty, as described in our Privacy Policy. Do not interact with the app while driving. Nothing in the app overrides traffic laws, hours-of-service rules, or your own judgment.

9. Availability

We don't guarantee any uptime level and there is no service-level commitment here. We may change, suspend, or remove features at any time. If the Service is unavailable, our obligations under your signed agreement are unaffected.

10. Suspension and termination

You may stop using the Service at any time. We may suspend or end your access if you breach these terms, if we suspect fraud, or if required by law. Sections covering your content license, our intellectual property, warranties, liability, and indemnification survive termination.

11. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that data it displays — including tracking, ETAs, and rates — is accurate or complete. Location and ETA data are estimates. This section does not limit our obligations for the freight itself, which are governed by your signed agreement and by law.

12. Limitation of liability

To the maximum extent permitted by law, Loadflex will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data, arising from your use of the Service, and our total liability arising from the Service will not exceed US $1,000.

This limit applies only to the software — the website, portal, and app. It does not limit our obligations for cargo loss or damage, our obligation to pay carriers, our obligations under your signed agreement or under transportation law, or liability for fraud or willful misconduct. Those are not capped by this section.

13. Indemnification

You will indemnify and hold harmless Loadflex from any third-party claim arising from your breach of these terms, your violation of law or another's rights, or your submission of a phone number without proper authorization, including any claim under the Telephone Consumer Protection Act arising from it.
